Terms of Service

givefeedback.dev is a client feedback collection platform designed for developers and agencies who ship client work. Our Service enables you to:

1. Embed a feedback widget into your client projects.
2. Collect voice, click, scroll, and text-based feedback from your clients.
3. Automatically transcribe and summarize voice feedback using AI.
4. Organize feedback into actionable, page-specific or section-specific items.

By using givefeedback.dev, you authorize us to process and store feedback data collected from your clients on your behalf.

To use the Service, you must register for an account.

• Credentials: You are responsible for maintaining the security of your account credentials.
• Authority: You represent that you have the necessary rights and permissions to collect feedback on the projects you configure within our Service.
• Responsibility: You are fully responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use.

A. Your Ownership

You retain full ownership of all projects, feedback data, recordings, and intellectual property ("User Content") that you upload, connect, or collect via givefeedback.dev. We do not claim ownership of your User Content.

B. License to givefeedback.dev

By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

1. Process, store, and display your feedback data within the platform.
2. Transcribe and summarize voice recordings using AI services solely for the purpose of providing the Service.
3. Host and reproduce screenshots and visual captures associated with feedback items.

C. Acceptable Use

You agree not to use the Service to:

• Collect feedback on illegal content or activities.
• Distribute malware, viruses, or phishing scams through the feedback widget.
• Collect data that infringes on the intellectual property or privacy rights of others without proper authorization.
• Engage in harassment, hate speech, or promote violence through the platform.

We reserve the right to remove any project and suspend any account that violates this Acceptable Use Policy without prior notice.

A. Free Plan / Early Access

We may offer a free plan or early access period. At the end of any promotional period, you may need to upgrade to a paid plan to continue using premium features.

B. Paid Subscriptions

Paid plans are billed in advance on a monthly or annual basis.

• Payment Processor: We use Stripe to process payments. You agree to provide current, complete, and accurate billing information.
• Auto-Renewal: Your subscription will automatically renew unless canceled at least 24 hours before the end of the current billing cycle.

C. Cancellation

You may cancel your subscription at any time via your dashboard. Cancellation will take effect at the end of the current billing period.

D. Refunds

All fees are non-refundable. We do not offer prorated refunds for partial months of service or unused time.

While givefeedback.dev uses AI services to transcribe and summarize voice feedback:

1. No Accuracy Guarantees: AI-generated transcriptions and summaries may contain errors or inaccuracies. You should review all AI-processed feedback before acting on it.
2. Third-Party AI Services: We use third-party AI providers (e.g., OpenAI) for transcription and summarization. Changes to their services or policies may affect functionality.
3. "As Is" Basis: The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

givefeedback.dev Property

We own all rights, title, and interest in and to the givefeedback.dev platform, including our feedback collection engine, the analytics dashboard, our widget technology, our logos, and our website content.

Feedback

If you provide feedback or suggestions about the Service, we may use them freely without any obligation to compensate you.

To the fullest extent permitted by applicable law, givefeedback.dev (including our founders, employees, and affiliates) shall not be liable for:

1. Indirect Damages: Any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill.
2. Service Interruptions: Any damages resulting from hacking, tampering, or other unauthorized access or use of the Service or your account.
3. Content Errors: Any errors in AI-generated transcriptions, summaries, or feedback categorization.
4. Cap on Liability: In no event shall our total liability to you for all claims exceed the amount you paid us during the twelve (12) months immediately preceding the event giving rise to the claim, or $100 CAD, whichever is greater.

You agree to defend, indemnify, and hold harmless givefeedback.dev and its founders from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from your use of the Service, violation of these Terms, violation of any third-party right, or any claim that feedback data collected through your use caused damage to a third party.

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved exclusively in the courts located in Toronto, Ontario.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
